These Terms of Service ("Terms") are a binding agreement between you and MyHomey Technologies, Inc., the owner and operator of Nutripath ("Nutripath," "we," "us," or "our"). Please read them carefully. They contain important disclaimers, an assumption of risk, a limitation of liability, and an indemnification obligation that affect your legal rights. By downloading, installing, accessing, or using Nutripath, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the app.
Nutripath is an AI-powered nutrition and fitness application that generates personalized meal plans, workout plans, product and meal recommendations, and automated coaching, and that helps you locate and order food and products from third-party providers. The Service is provided for general informational and educational purposes only. It is not a medical, healthcare, dietetic, or professional service, and it is not a substitute for professional advice, diagnosis, or treatment. The Service is currently provided free of charge; if we introduce paid features, additional terms may apply.
Nutripath does not provide medical, nutritional, dietetic, psychological, or other professional advice, and nothing in the Service constitutes such advice. The plans, recommendations, calculations, and coaching responses provided by Nutripath are generated by artificial intelligence and general-purpose software and are not a diagnosis, treatment, prescription, or medical or professional opinion. Your use of the Service does not create a doctor-patient, dietitian-client, trainer-client, or any other professional relationship between you and Nutripath.
Always seek the advice of a qualified physician, registered dietitian, or other qualified health provider with any questions you may have regarding your health, a medical condition, allergies, medications, or before beginning, changing, or stopping any diet, supplement, nutrition, or exercise program. Never disregard or delay seeking professional medical advice because of something you read or received through the Service. If you think you may have a medical emergency or are experiencing an adverse reaction, stop using the Service's recommendations and call your doctor or emergency services immediately.
You understand that nutrition, dietary changes, physical exercise, and the consumption of food, meals, and supplements carry inherent risks, including the risk of allergic reaction, illness, injury, aggravation of pre-existing conditions, and, in rare cases, death. You knowingly and voluntarily assume all such risks arising from your use of the Service and from any plan, recommendation, food, meal, product, supplement, exercise, or activity you choose to follow, order, prepare, perform, or consume. You represent that you are in adequate health to use the Service and that you have consulted a healthcare professional to the extent appropriate for your circumstances.
The Service is designed for general audiences and is not designed to provide, and does not provide, medically supervised or therapeutic nutrition, disease management, or treatment. It may not be appropriate for you if you have a health condition or special circumstance. In particular, you should consult a qualified healthcare professional before using the Service or relying on any plan or recommendation if any of the following applies to you: you have or may have diabetes or a blood-sugar condition; cardiovascular, kidney, liver, thyroid, or metabolic disease; high or low blood pressure; a gastrointestinal or digestive disorder; a food allergy or intolerance (see Section 5); a chronic illness, autoimmune, or immune condition; you have, are recovering from, or are at risk of an eating disorder or disordered eating (for which calorie and macro targeting, weight tracking, and dietary restriction can be harmful); you are pregnant, nursing, or trying to conceive; you are recovering from surgery, injury, or illness; you take prescription or over-the-counter medications or supplements (which may interact with foods, supplements, or dietary changes); or you are otherwise under medical care or on a prescribed dietary restriction. Nutripath does not screen for, diagnose, treat, or account for any condition (including eating disorders), and is not responsible for food-drug, supplement-drug, or condition-specific interactions or contraindications.
Nutripath lets you enter information such as allergies, intolerances, medical conditions, dietary restrictions, and preferences, and attempts to account for them when generating plans and recommendations. However, you acknowledge and agree that:
(a) Nutripath's plans, suggestions, and recommendations are generated by automated systems and artificial intelligence and may be incomplete, inaccurate, out of date, or erroneous — including by recommending, displaying, or failing to exclude foods, meals, supplements, or products that contain, may contain, or were produced in facilities handling allergens or ingredients you wish to avoid, even where you have indicated an allergy, intolerance, medical condition, or restriction;
(b) Nutripath does not grow, manufacture, prepare, cook, package, handle, test, or inspect any food, meal, supplement, or product, and cannot and does not verify, guarantee, or warrant the ingredients, allergen content, nutritional values, preparation methods, cross-contact or cross-contamination risk, freshness, or safety of any item;
(c) You are solely and fully responsible for reviewing and verifying the complete, current ingredient list, allergen information, and nutritional content of any food, meal, supplement, or product — directly with the manufacturer, restaurant, retailer, or provider — before purchasing, ordering, preparing, or consuming it; and
(d) if you have a food allergy, intolerance, or medical dietary need, you must consult a qualified healthcare professional and must not rely on Nutripath to identify, flag, or exclude any allergen or ingredient.
You assume all risk arising from any food, meal, supplement, or product you choose to order, prepare, or consume, and Nutripath shall have no liability for any allergic reaction, illness, injury, or other harm resulting from it.
If you have any medical condition, injury, symptom, or other health concern, a workout or physical-activity plan could pose a risk of injury or harm, and you should consult a physician before beginning. More generally, physical activity carries some inherent risk, and you are solely responsible for exercising within your ability, using proper form and equipment, and stopping if you experience pain, dizziness, shortness of breath, or other warning signs, and for seeking medical attention as needed. Nutripath is not responsible for any injury, condition, or harm resulting from any exercise or activity suggested by the Service.
The Service may reference or recommend dietary supplements. Statements regarding supplements have not been evaluated by the U.S. Food and Drug Administration, and supplements are not intended to diagnose, treat, cure, or prevent any disease. Supplements can interact with medications, other supplements, foods, and health conditions. Consult a qualified healthcare professional before taking any supplement, especially if you are pregnant or nursing, take medications, or have a medical condition, and always follow the manufacturer's label and directions.
Individual results vary, and Nutripath makes no representation, warranty, or guarantee that use of the Service will produce any particular result, including any weight change, body-composition change, fitness improvement, health outcome, or nutritional result. Any examples or descriptions of outcomes are illustrative only and are not a promise of your results.
Plans, recommendations, calculations, macro and calorie targets, and coaching responses are generated by artificial intelligence and may not always be accurate, complete, current, or appropriate for your specific situation. We do not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated content, and such content may contain errors or omissions. You use AI-generated content at your own risk and are responsible for evaluating it before acting on it.
Nutripath may display, recommend, or link to products, meals, groceries, and services offered by independent third parties (including, for example, meal providers, grocers, retailers, and delivery services). Nutripath does not sell, supply, prepare, or deliver these items and is not a party to any transaction between you and a third-party provider. When you choose to order, you do so directly with the third party, and your purchase is governed by that provider's own terms, policies, and disclosures. We do not control and are not responsible for the availability, quality, safety, ingredients, allergen content, labeling, pricing, preparation, packaging, or delivery of any third-party item. We may earn affiliate commissions from purchases made through the app; recommendations are based on your profile and preferences and do not constitute endorsements, guarantees, or warranties.
You must create an account to use Nutripath, and you represent that you are able to enter into a legally binding agreement. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account, and you agree to provide accurate, current, and complete information.
You agree not to misuse the Service, including by attempting to access other users' data, reverse-engineering or interfering with the app, using the Service for any unlawful purpose, or submitting false or misleading information.
All content, features, and functionality of Nutripath are owned by Nutripath and are protected by copyright, trademark, and other intellectual property laws. Your personalized plans are generated for your personal, non-commercial use only and may not be redistributed.
THE SERVICE AND ALL CONTENT, PLANS, RECOMMENDATIONS, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE FULLEST EXTENT PERMITTED BY LAW. NUTRIPATH EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ANY PLAN, RECOMMENDATION, CALCULATION, OR ITEM IS ACCURATE, COMPLETE, RELIABLE, SAFE, HEALTHY, EFFECTIVE, FREE OF ANY ALLERGEN OR HARMFUL COMPONENT, OR SUITABLE FOR YOU. Nutripath does not warrant that the Service will be uninterrupted, secure, or error-free.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NUTRIPATH OR ITS OWNERS, OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY PERSONAL INJURY, ILLNESS, ALLERGIC REACTION, ADVERSE HEALTH EFFECT, DEATH, OR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO: (a) YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE; (b) ANY PLAN, RECOMMENDATION, CALCULATION, OR AI-GENERATED CONTENT; (c) ANY FOOD, MEAL, SUPPLEMENT, OR PRODUCT YOU ORDER, PREPARE, OR CONSUME; (d) ANY EXERCISE OR PHYSICAL ACTIVITY YOU PERFORM; OR (e) ANY ACT OR OMISSION OF ANY THIRD-PARTY PROVIDER — WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF NUTRIPATH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUTRIPATH'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL AMOUNT YOU PAID TO NUTRIPATH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE U.S. DOLLAR ($1). Because the Service is currently provided free of charge, no fees have been paid, and this cap operates as a $1 maximum unless and until you pay fees for the Service.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or of liability for certain damages (such as incidental or consequential damages, or, in some cases, personal injury). To the extent such exclusions or limitations are not permitted in your jurisdiction, the above exclusions and limitations apply to the fullest extent permitted by law, and Nutripath's liability is limited to the greatest extent so permitted.
You agree to indemnify, defend, and hold harmless Nutripath and its owners, officers, members, employees, contractors, and affiliates from and against any and all third-party claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Service; any food, meal, supplement, or product you order, prepare, or consume; any exercise or activity you perform; your violation of these Terms; or your violation of any law or the rights of any third party.
We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. You may delete your account at any time through the Profile section or by contacting support@nutripath.ai. Sections that by their nature should survive termination (including Sections 2–10, 14–16, and 18–19) will survive.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to the arbitration agreement in Section 19, any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their personal jurisdiction, except where prohibited by applicable law.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
(a) Agreement to Arbitrate. You and Nutripath agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved by binding individual arbitration rather than in court, except that (i) either party may bring an individual claim in small-claims court, and (ii) either party may seek injunctive or other equitable relief in court for actual or threatened infringement, misappropriation, or violation of intellectual-property rights or unauthorized access to the Service. This arbitration agreement is governed by the Federal Arbitration Act (FAA).
(b) Arbitration Procedure. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. The arbitration will be conducted in English and may proceed by telephone, videoconference, or written submissions where permitted by the rules. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.
(c) Class Action Waiver. YOU AND NUTRIPATH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of class or representative proceeding. You and Nutripath also waive any right to a jury trial.
(d) 30-Day Right to Opt Out. You may opt out of this arbitration agreement (this Section 19) by emailing support@nutripath.ai within 30 days of first accepting these Terms, stating your name and that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the courts identified in Section 18. Opting out of arbitration has no effect on any other provision of these Terms.
(e) Severability. If the class action waiver in Section 19(c) is found unenforceable as to a particular claim or request for relief, that claim or request will be severed and brought in the courts identified in Section 18, while any remaining claims proceed in arbitration. If any other portion of this Section 19 is found unenforceable, the remainder will continue to apply; if Section 19(a) as a whole is found unenforceable, the Dispute will be resolved in the courts identified in Section 18.
We reserve the right to modify these Terms at any time. We will notify you of material changes through the app or via email. Your continued use of Nutripath after changes take effect constitutes acceptance of the updated Terms.
